PROPTYPLUS TERMS AND CONDITIONS

Thank you for using Proptyplus, a product, platform and service created and owned by GASL Solutions Limited. These Terms and Conditions (“Terms”) cover your use and access to our Platform, website and other services provided on our Platform (“Services'').

By using our Platform and accessing our Services, you agree to be bound by these Terms as well as our Privacy Policy. If you are using or enjoying any of our services provided on our Platform, you are agreeing to these terms.

Please note that the statements set under the heading “Simply Put” are provided as courtesy solely for your convenience and are not legally binding or otherwise intended to modify these Terms in any way.

For the purpose of these Terms and Conditions,

  • “Onboard” means the process of satisfying all the necessary process to enable a user have access to the Proptyplus platform.
  • "Our" "Us" "We" refers to Proptyplus and all Products and Services by Proptyplus.
  • “User” means any business, organisation or entity who retains the services of Proptyplus.
  • "You" means the "Users' and “Authorised Users' of Proptyplus’s Platform and Services.
  • "Platform" means the Proptyplus Website, Mobile Applications and any other Platform by Proptyplus.

Simply Put:
By using Proptyplus, you agree to our Terms and Conditions.

  1. Access to the Platform
    • Proptyplus shall provide you all the necessary passwords and network links or connections to allow you to access our Platform.
    • The Services may be accessed and used in various ways including, but not limited to:
      • 1. 1.   General Users who access and use the platform, without creating an account nor subscribing to any of our services; and
      • 1. 2.   Users who have subscribed for and created an account and granted access to any of the features, tools and other services on the platform that are available only to Users.
    • You must provide current, complete and accurate information, and must maintain and promptly update your information so that it is true, accurate, current and complete at all times. Proptyplus shall have no liability to you (or any third party) arising from or in connection with your failure to maintain and update your information, including, but not limited to, any claim, loss or damage from your failure to receive information about the Services.
    • Proptyplus may make changes to its Services from time to time, including but not limited to, the availability of tools or features; how long, how much or how often any given tool or feature may be used; and feature dependencies upon other services, platforms or softwares. We shall provide you with prior notice before removing any material feature or functionality of the Services, unless security, legal, or system performance considerations require an expedited modification or removal.
    • You must immediately notify Proptyplus and any relevant authorities if you become aware of any use of the Services that is, or is likely to be, illegal or threatening to the health or safety of any organisation or person.
    • You agree and consent to Us collecting, using and disclosing to third parties any personal information in accordance with Our Privacy Policy. You acknowledge that submission of any information, statements, data, and content to the Provider is voluntary and that Proptyplus may process such information within the terms of our Privacy Policy.

    Simply put:
    As long as you agree to follow these Terms, you are welcome to use Proptyplus in the manner intended and Authorised by us.

  1. Licence Grant
    • Subject to compliance with these Terms, you are hereby granted a non-exclusive, limited, non-transferable, revocable licence to use the services as we intend for them to be used. As a registered User, you are licensed to keep your personal records, or physical copies of documents created on the Platform. You shall not copy the content of Proptyplus Platforms not created or provided by you. Any rights not expressly granted in these Terms are reserved by Proptyplus.

    • When you transmit User content on Proptyplus, you hereby grant Proptyplus and its affiliates a non-exclusive, royalty free, perpetual, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display any such content throughout our platform and on any media platform.

    • If you submit feedback or suggestions about our services, we may use your feedback or suggestions without any obligation to you.

    • Resale or unauthorised distribution of materials downloaded from our platform is STRICTLY prohibited and use of such materials for personal or business use, resale or distribution requires an express written consent from Proptyplus.

    Simply put:
    The intellectual property of all or any content found on the site belongs to Proptyplus.

  1. Auto-Renewals and Paid Accounts
    • Proptyplus has partnered with an external payment platform to accept and handle all payments for and on behalf of Proptyplus. This third-party payment platform on behalf of Proptyplus may automatically charge you at the end of your subscription period to auto-renew your subscription. This automatic charge at the end of your subscription will occur unless you notify us that you want to cancel your subscription to access and use our Platform. To ensure uninterrupted services  you may authorise our third-party payment platform to store your payment details on their system. However, if you do not wish for your payment details to be stored by our third-party payment platform, you must indicate this on the Platform.
    • It is your responsibility to maintain current billing information with Proptyplus and our third-party payment platform. Kindly note that Proptyplus will not be held liable for issues arising out of authorizations granted to our third-party payment platform.

    Simply Put:
    It is your duty to notify us if you wish to cancel or not renew your subscription, and it is your duty to decide whether you want your payment details to be stored by our third-party payment processing platform or not. Proptyplus will not be responsible for any issues that arise out of this.

  1. Fees, Plans, Payments and Refund Policy

    Proptyplus provides its services through different packages:

    • Property listings and marketing
    • Aggregator services between the agents and house owners and seekers
    • Other ancillary services.

    We want you to be One hundred percent satisfied with our services. If you are less than satisfied or believe there has been an error in billing, please contact our Customer Service team by email info@gaslsolutions.com or on the designated telephone numbers so that we can help you resolve the issue.

    Proptyplus does not charge fees to potential house hunters directly and as such, all payments are made either to the agents of the property owners or the property owners directly. You are therefore advised to verify all parties and property before making payments.

    The payment gateway services outlet on our platform is handled by a third-party services provider. You are advised to read their terms of services and other policies.

    Proptyplus may charge Agents and property owners a discounted subscription or resell fee which shall be made known to the affected persons before such charges are applied.

    Proptyplus shall not be responsible for any payment’s delays, cancelled transactions or fraudulent activities by unverified individuals or entities on our platform.

    We do not offer refunds on money paid by you for services already accessed or used.

    Simply Put:
    We place customer satisfaction as our highest priority and we are committed to resolving any issue you have. However, we do not give refunds for services that you have already used.

  1. Purpose of the Services

    Proptyplus automates all your needs for property search, identification, verification, and payments thereby making house hunting a less tedious tasks in urban neighbouhoods in Nigeria.

  1. User Responsibility
    • The User is responsible and liable for all use of the Services and Documentation resulting from access provided by Proptyplus, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement.
    • Without limiting the generality of the foregoing, you are responsible for all acts and omissions of your Authorised Users or third parties (who access our platform using the Users, Authorised Users login details), and any act or omission by an Authorised Users or third parties that would constitute a breach of this Agreement if taken by you will be deemed a breach of this Agreement by you.
    • The User shall use all reasonable efforts to make all Authorised Users aware of these Terms.
    • The User shall take all reasonable effort to provide accurate information of himself, or any person on whose authority he acts. The User shall bear full responsibility for any damages resulting from such inaccurate or wrongful data of himself provided by them.
    • Any transaction done or message transmitted or actions performed through the Users Account is done at the User's own risk;
    • The User shall provide all cooperation and assistance as Proptyplus may reasonably request to enable Proptyplus to exercise its rights and perform its obligations.

  1. No Unlawful Use of Our Service
    • By using our Platform and having access to our services, you accept that you or any third party accessing our services through your subscription will not publish, transmit, or fraudulent, triggering, illegal, or incorrect communication on our platform. you will not send any messages or upload content or use our platform in a way that violates any applicable law(s) in Nigeria.
    • To enforce this provision, Proptyplus reserves the right to deny access to the features on our Platform, or to suspend or terminate your account and subscription immediately and without any prior notice at our sole discretion.

    • The following are specifically prohibited:
      • Use in connection to or for fraudulent activities.
      • Placing advertisements or listings for inexistent properties or unverified properties.
      • Making false claims, promises or misrepresentations that may likely induce a customer to part with money.
      • Copying, reproduction, modification, creation of derivative works from, distribution or public display of  any of Our Services or  Content, or any content provided by a third party, except to the extent permitted by law, or with the prior written consent of Proptyplus or the appropriate third party.
      • Impersonation or misrepresenting affiliation with any person or entity or otherwise.
      • Distributing viruses or any other technologies that may cause harm to any of the Services, or the interests or property of any third party.
      • Any action that imposes, or may impose, in the sole discretion, an unreasonable or disproportionately large load on Proptyplus’s infrastructure.
      • Interfering or attempting to interfere with the proper working of the Services, any other User’s use and enjoyment of the Services;
      • Bypassing measures set in place to prevent or restrict access to our Platform; or
      • Gaining, or attempting to gain, unauthorised access to any areas of the Services, other accounts, or any systems, networks or infrastructure used by or connected to Proptyplus.

    • You many not hack, “scrape” or “crawl” Our website or servers whether directly or through intermediaries such as spiders, robots, crawlers, scrapers, framing, iframes or RSS feeds, or otherwise attempt to access any information Proptyplus has not intentionally made available to you on our Platform. Your use of our Platform does not entitle you to resell any Proptyplus content without prior express written consent from Proptyplus.

    Simply Put:
    Our services will only be used within lawful and legally allowed bounds.

  1. Service Levels

    Subject to the terms and conditions set out herein:

    • Proptyplus will use commercially reasonable efforts to make the Services available at least most of the time as measured periodically during the Term (such period shall be determined by Proptyplus and referred to as a “Service Period”)
    • For purposes of calculating the Availability Requirement, the following are “Exceptions” to the Availability Requirement, and neither the Hosted Services will be considered unavailable nor any Service Level Failure be deemed to occur in connection with any failure to meet the Availability Requirement or impaired ability of the User to access or use the Services that is due, in whole or in part, to any:
      • Act or omission by the User, this include but is not limited to instances When a User's, Authorised User Access Credentials, does not strictly comply with this Agreement and the Services;
      • Delay or failure of performance caused in whole or in part by the User’s or Authorised  User delay in performing, or failure to perform, any of its obligations under this Agreement;
      • Internet connectivity of the User or its Authorised User is unavailable;
      • Force Majeure Event;
      • Failure, interruption, outage or other problem with any software, hardware, system, network, facility or other matter not supplied by Proptyplus under this Agreement;
      • Scheduled downtime; or
      • Disabling, suspension or termination of the Service.

  2. Simply put:
    We will ensure our Platform and services are available at all times with some reasonable exceptions to this.

  1. Technical Support
    • Proptyplus may at its sole discretion provide technical support for the User on weekdays and weekends (Monday through Friday) between 08.00 and 17.00 WAT provided the support request is directly and solely regarding the Services provided. Proptyplus will answer all support requests in the order that they are received as long as they are pursuant to this Terms and Conditions.
    • If a request is made outside of the specified times, we will respond at the earliest possible time that falls within the hours outlined above, in the order in which requests are received.
    • The type of support that a User is entitled to depends on the plan that they are subscribed to and Proptyplus reserves the right to decline providing support if contacted through a means that is not supported by the User’s current plan.
    • In the unlikely event where a server issue causes any downtime, the matter would receive the highest priority to ensure immediate access is made available.
    • The User or Authorised User agree to use Proptyplus’s support services on a reasonable basis and when necessary. We reserve the right, in its sole and absolute discretion, to terminate or suspend the support services for User’s failure to use the support services in accordance to the terms hereof.
    • Proptyplus shall take industry-standard precautions to maintain and back up all User’s data on a periodic basis.
    • For User’s that request in writing for data migration services to be provided by Proptyplus, there will be additional cost for such transfer(s), determined on a case-by-case basis by Proptyplus.

    • Simply Put:
      Our Technical Support Team is available to assist you through any issues you experience that require solving.

  1. Linking to the Service

    Any link to the Services and its associated web pages must:

    • Be a text link and must otherwise comply with the Agreement and any linking guidelines or brand use guidelines that are published by Proptyplus or provided to the Users from time to time;
    • Not, in Proptyplus's opinion deceive or mislead, nor suggest any relationship, endorsement or sponsorship between the User and the Services;
    • Not replicate any Proptyplus Content (including any Proptyplus logo), without the express written consent of Proptyplus;
    • Not misrepresent the User's relationship with Proptyplus and must not present false or misleading information about Proptyplus,  it's affiliates  or any of its Services;
    • Not contain content that could be construed as distasteful, offensive or controversial.

    • The link must be made in good faith, and must not in Proptyplus’s reasonable opinion cause the Proptyplus brand or any Proptyplus trademark to be viewed in a negative or potentially negative light and the link must not frame the Services.
    • No other linking is permitted unless it is the subject of a separate specific written agreement between the User and Proptyplus.
  1. Consent to Receive Emails
    • By creating an account, or onboarding on our platform you agree as a User to receive communications from Proptyplus such as newsletters, special offers, account reminders and updates.
    • You understand that you can remove yourself from these communications by clicking the “Unsubscribe” link in the email received. However, we advise that you do not unsubscribe from our mailing list as you are notified using your email as to the progress of your access to our services and use of our Platform.

    Simply put:
    Proptyplus may send you emails which you can unsubscribe from at any time, but we advise that you do not.

  1. Taxes
  2. Fees and charges indicated for use of Proptyplus’s platform and access to our services are VAT exclusive. In addition to the Fees and charges, VAT and other applicable taxes shall be charged to the  Users in appropriate cases.

  1. Confidential Information
    • All Confidential Information received from the User shall be processed, used and stored in line with our Privacy Policy.
  1. Intellectual Property Rights
    • Proptyplus retains all right, title and interest in and to its Platform and services, including without limitation, images, texts, graphics, illustrations, logos, services marks, copyrights, photograph, software and all related Intellectual Property Rights. Except as otherwise provided in this agreement, you may not, and may not permit others to:
      • Reproduce, modify, translate, enhance, disassemble, reverse engineer or create derivative works of any of our services on any of our Platforms;
      • Sell, licence, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt or edit any of our services or any of our platforms; or
      • Circumvent or disable any security or technological features of any of our services on our platforms.
    • The design, text, graphics, and selection and arrangement thereof and services and the documents, guidance and other content found on our Platform (“Service Content'') are copyright © Proptyplus. All rights reserved.
    • Proptyplus® is a registered trademark in the countries where its licensed transmitters are located, and are registered under the Trademark, Patent and Design Registry Commercial Law Department, Federal Ministry of Industry, Trade and Investment. This and any other Proptyplus Products, Platforms or Service names or slogans displayed on the Proptyplus Platform are trademarks of Proptyplus. You may not copy, imitate or use them in whole or in part, without prior written consent. The names of actual companies and products you might encounter through us may be trademarks of their respective owners.
    • Nothing in these Terms and Conditions should be understood as in any way granting any licence or right to use any of Our trademarks displayed on our website. All goodwill generated from the use of our trademarks is reserved for Proptyplus's exclusive use.

    Simply Put:
    The Proptyplus logo, software, trademarks, products and services belong to us. You agree not to copy, modify or sell any of our intellectual property or pass it off as yours.

  1. Indemnification
    • You on behalf of yourself and your Authorised agents, representatives, partners, and assigns, agree to fully release, forever discharge and hold Proptyplus, its officers, employees, directors, agents and partners harmless from any and all losses, damages, expenses, including reasonable attorney fees, rights, claims and actions of any kind and injury (including death) arising out of or relating to your use of our Services and Platform. You agree that this release has been made freely and voluntarily consented to and you confirm that you fully understand what you are agreeing to.
    • You agree to indemnify and hold Proptyplus, its officers, employees, directors, agents and partners harmless from any and all losses, damages, expenses, including reasonable attorney fees, rights, claims and actions of any kind and injury (including death) arising out of any third-party claims relating to your use of our site, your violation of these Terms  or your violation of any rights of another.

    Simply Put:
    Proptyplus is not responsible for anything that happens as a result of you violating these Terms, violating someone else’s rights or a third-party claim.

  1. Disclaimer and Limitation of Liability
    • The information, services and products made available on our Platform may include inaccuracies or typographical errors. Proptyplus and its affiliates, third-party partners may at any time make improvements or changes to our services. Your use of our services is at your own risk.
    • to the fullest extent permitted by law, Proptyplus and its affiliates and third-party partners make no warranties, either express or implied, about the services provided on our platform. services on our platform are provided to the fullest extent permitted by law, in no event will Proptyplus, its affiliates, third-party partners be liable for any indirect, special, incidental, punitive, exemplary or consequential damages or any loss of data, business, or profits, suffered by the Users.

    Whilst we do our best to make sure everything is accurate and up to date, your use of our platform is at your own risk.

  1. Data Security
    • All personal data received by Proptyplus are used, stored, processed and destroyed in line with our Privacy Policy.
  1. Cancellation, Suspension, Termination
    • Proptyplus may, directly or indirectly or by use of Proptyplus’s disabling device or any other lawful means, suspend, terminate or otherwise deny access to, or use of, all or any part of the Services or Platform access by the  User or any other Person, without incurring any resulting obligation or liability, if:
      • Proptyplus receives a Government Order that expressly or by reasonable implication requires Proptyplus to do so; or
      • Proptyplus believes, in its sole discretion, that:
        • A User has failed to comply with, any of these Terms, accessed or used the Services beyond the scope of the rights granted or for a purpose not Authorised under this Agreement or in any manner that does not comply with any instruction or requirement of the Specifications;
        • A User is, has been, or is likely to be involved in any fraudulent, misleading or unlawful activities; or
        • These Terms expire or are terminated.

    Simply put:
    Proptyplus may cancel, suspend or terminate your use of our Platform or access to our services for breach of any of these Terms.

  1. Dispute Resolution
    • Most User concerns can be resolved quickly and to the User’s satisfaction by contacting our Customer Service Team via:
    • However, if Proptyplus is not able to resolve a dispute with you after attempting to do so informally, then as a condition to use our services, we mutually agree to resolve such dispute through Mediation administered by the  Arbitration court of the country where the transmitter from which the complaint emanated is located. If settlement is not reached within 3 months of a written demand for mediation by either party, any unresolved controversy or claim shall be settled by sole Arbitrator appointed jointly by the parties in line with the Arbitration and Conciliation Act, Cap A,18 LFN 2004 and where the parties disagree on the choice of an arbitrator, such appointment shall be mad by the Chairman if the chartered institute of arbitrators, (UK) Nigeria Branch. The seat of arbitration shall be Lagos and the language of arbitration shall be English. Neither party shall be precluded from seeking interim reliefs from a court of competent jurisdiction.

    • You may only resolve disputes with us on an individual basis and may not bring a claim as a member of a class action, consolidated or representative action. Class arbitration, class actions and consolidation with other arbitration are not allowed.

      Notwithstanding our agreement to arbitrate our disputes as provided above, the following exceptions will apply to the resolution of disputes between us:

    • Proptyplus may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any unauthorised use or abuse of the services without first engaging in mediation, arbitration or the informal method of dispute resolution.
    • Proptyplus may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any infringement of Proptyplus’s intellectual property.
    • In the event that the agreement to arbitrate provided herein is found to be inapplicable or unenforceable for any reason, then as a condition to your use of our services and Platform, we agree that any resulting judicial proceeding will be brought in the appropriate court with competent jurisdiction.
    • Proptyplus may make changes to these provisions in the future regarding dispute resolution and arbitration by providing notice in accordance with the section of these Terms titled “Modifications” below.

  2. Simply put:
    If you have any problem with Proptyplus and our customer support cannot help you, you waive your right to sue us, either individually or by class action. Instead, we will resolve disputes using mediation and arbitration.

  1. Governing Law

    These Terms will be governed by the laws of the Federal Republic of Nigeria

  1. Waiver, Severability and Assignment
    • Proptyplus’s failure to enforce a provision is not a waiver of its right to do so later.
    • If a provision is found unenforceable, the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.
    • You may not assign any of your rights under these Terms, and any such attempt will be void.
    • Proptyplus may assign its rights to any of its affiliates, subsidiaries, third-party partners or any successor in interest of any business associated with the Services.

    Simply put:
    If for some reason Proptyplus cannot or does not enforce part of these Terms, the rest of the terms will still be valid.

  1. Modifications
    • We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you by:
      • Either posting the notification on our Platform
      • Or sending a notification via email to our Users
    • By continuing to use or access our Platform and use our services after the revisions come into effect, you agree to be bound by the revised Terms.

    Simply put:
    Be on the lookout for current changes or amendments to our terms on the platform.

  1. Miscellaneous

    These Terms and Conditions and any policies or operating rules posted by us on our platforms constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision.

    These Terms and Conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time.

    You hereby waive any and all defences you may have based on the electronic form of these Terms and the lack of signing by the parties to constitute execution of the terms,  once you proceed to use our platform  after reading these terms you are deemed to agree to the conditions contained herein.
